EDWOSB Certification for Food & Beverage Companies

Growing Consumer Demand: Consumers increasingly seek out brands owned by diverse entrepreneurs, creating pull-through demand at retail. This consumer trend reinforces corporate commitment to sourcing from diverse food companies.

Room for Growth: The food and beverage sector's diverse spend currently averages only about 1.6% of total procurement, indicating significant room for growth and opportunity for certified suppliers to capture new business.

Meets WOSB requirements plus owner's personal net worth under $850,000 and average adjusted gross income under $400,000.

EDWOSB requirements build on the WOSB base. You must meet all WOSB requirements first, then also satisfy the economic disadvantage test.

WOSB base requirements (required for EDWOSB)

• 51% unconditionally and directly owned by one or more women who are U.S. citizens
• A woman must hold the highest officer position and manage on a full-time basis
• Women must control day-to-day operations and long-term strategy
• Must be small under SBA size standards for the applicable NAICS code

Economic disadvantage test (per 13 C.F.R. § 127.203)

• Personal net worth of the economically disadvantaged woman owner must not exceed $850,000
• Exclude: equity in the owner's primary residence; equity in the EDWOSB firm itself
• Include: retirement accounts, brokerage accounts, other real estate, vehicles, interests in other businesses
• Three-year average adjusted gross income must not exceed $400,000
• Total personal assets must not exceed $6.5 million (this is a gross assets test, not a net worth test)

NAICS code applicability EDWOSB set-asides apply specifically in NAICS codes where women are "substantially underrepresented" in federal contracting. SBA publishes this list at sba.gov. It differs from (and often overlaps with) the WOSB list. Check both lists for your primary NAICS code before applying to understand which tier's set-asides you will access.

Step 1: Determine your EDWOSB eligibility before applying Complete the personal net worth calculation before touching the application. List all personal assets including retirement accounts, brokerage accounts, real estate other than your primary home, vehicles, and ownership interests in other businesses. Subtract personal liabilities. Then subtract equity in your primary home and your ownership stake in the EDWOSB firm. If the resulting figure is below $850,000, check whether your 3-year average adjusted gross income is below $400,000 and your total personal assets are below $6.5 million. All three thresholds must be met. If you're close to any limit, have your accountant review the numbers.

Step 2: Apply for WOSB and EDWOSB simultaneously at certify.sba.gov The WOSB and EDWOSB applications are in the same portal. Apply for both at the same time. There is no reason to apply for WOSB first and add EDWOSB later if you currently meet the economic disadvantage thresholds. Doing them together means one review process, one timeline.

Step 3: Confirm SAM.gov registration is active EDWOSB certification requires an active SAM.gov registration. Verify before applying. SAM.gov renewals take 7-10 business days.

Step 4: Prepare your full document package Before opening the certify.sba.gov session, have everything scanned and labeled: citizenship proof, operating agreement or bylaws, stock certificates or membership ledger, 3 years of personal tax returns, personal financial statement (SBA Form 413 completed within 60 days), most recent business tax return, business license, and bank signature card or resolution. The portal times out; having everything ready prevents lost work.

Step 5: Complete and submit the application The EDWOSB application includes the WOSB ownership and control sections plus the economic disadvantage financial disclosures. Be precise. Reviewers verify personal net worth calculations and may request supporting documentation for listed assets.

Step 6: Respond to SBA RFAIs within 15 days After submission, SBA may issue requests for additional information. Missing the 15-day response window can close your application. Check the portal weekly.

Step 7: Annual economic disadvantage recertification Unlike WOSB (which has a lighter annual affirmation), EDWOSB requires you to reconfirm your economic disadvantage status annually. If your personal net worth, income, or assets have grown beyond the thresholds, you will no longer qualify for EDWOSB, though you may still qualify for basic WOSB.
